• 3. Client Responsibilities

  To ensure smooth collaboration, clients are responsible for:
  • Providing accurate, complete, and timely information regarding the project.
  • Responding to requests and communications promptly.
  • Providing any necessary access or resources for the completion of the project (e.g., server access, user data, etc.).
  All services provided are subject to these Terms of Service. We will work closely with you to ensure that our solutions align with your business needs.

• 4.  Payment and Fees

  All payments for services are due as outlined in the project proposal or contract. We reserve the right to halt services or withhold deliverables if payments are not made as per agreed timelines. Any additional work or revisions outside the original scope will be charged at an agreed rate.

• 5.  Intellectual Property

  All intellectual property created by The Ninja Studio during the project, including code, design, and related materials, remains the property of The Ninja Studio until full payment is received. Upon full payment, intellectual property rights will transfer to the client, except for any third-party components or libraries used, which remain under their respective licenses.

• 6.  Confidentiality

  We respect the confidentiality of all client data and information. Any information shared with us during the project will not be disclosed to third parties without the client's written consent, except as required by law or to provide the services agreed upon.

• 7.  Project Timelines

  The Ninja Studio commits to delivering projects within the agreed timelines. However, timelines may be adjusted based on changes in project scope, delays in client feedback, or unforeseen circumstances. Any changes to the project timeline will be communicated promptly.

• 8.  Revisions and Changes

  We offer a reasonable number of revisions as per the project agreement. Additional revisions beyond the agreed scope may incur additional charges. Major changes or new feature requests will be subject to a separate agreement or cost.

• 9. Limitation of Liability
  

  While we strive to provide the highest quality services, The Ninja Studio is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability for any claim related to our services is limited to the amount paid by the client for the specific project.

• 10.  Termination of Services

  Either party may terminate a project at any time by providing written notice. If the client terminates the project, they are responsible for paying for the work completed up to the date of termination. The Ninja Studio may also terminate services if the client fails to fulfill their obligations under this agreement.

• 11.  Third-Party Services

  In the course of providing services, The Ninja Studio may use third-party services, tools, or libraries. These third-party components are subject to their respective terms of service, and The Ninja Studio is not responsible for any issues arising from their use.

• 12.  Dispute Resolution

  In the event of a dispute, both parties agree to attempt to resolve the matter amicably. If resolution cannot be achieved through negotiation, the parties agree to mediate the dispute in good faith before resorting to any other legal process.

• 13.  Changes to Terms of Service

  The Ninja Studio reserves the right to modify or update these Terms of Service at any time. Clients will be notified of any significant changes, and continued use of our services will constitute acceptance of the revised terms.

• 14.  Governing Law

  These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, and any disputes will be subject to the exclusive jurisdiction of the courts in the Province of Quebec.
